Terms of Service
1. Acceptance of Terms
By accessing or using The Gene Box platform (“Platform”), you (“Partner”) agree to be bound by these Terms of Service (“Terms”). If you are entering into these Terms on behalf of an organisation, you represent that you have the authority to bind that organisation. If you do not accept these Terms, you may not use the Platform.
These Terms are in addition to any separate agreement or statement of work executed between your organisation and The Gene Box (“TGB”). In the event of conflict, the separate agreement takes precedence.
2. Platform Description
The Gene Box operates a multi-omic health intelligence platform that enables B2B healthcare providers, wellness organisations, and research institutions to offer genomic, microbiome, and blood panel analysis to their patients and clients. The Platform includes the Prism, Clarity, Compass, Flora, and Lens products, the Evolveme.ai AI interpretation layer, and associated APIs, dashboards, and reporting tools.
TGB is a technology and intelligence platform provider. We do not provide medical services, clinical care, or diagnostic services directly to patients. All clinical decisions remain the responsibility of the qualified healthcare professionals engaged by our partners.
3. Partner Obligations
Partners using the TGB Platform agree to:
- Maintain applicable licences — ensure that all staff accessing and acting on Platform outputs hold the appropriate professional licences and qualifications required in their jurisdiction.
- Ensure appropriate use — use Platform outputs only in accordance with applicable law, professional guidelines, and these Terms. Reports must be interpreted by qualified professionals before clinical action is taken.
- Obtain patient consent — collect valid, informed consent from patients prior to sample collection and data processing, in accordance with applicable data protection law and clinical governance requirements.
- Maintain accurate records — keep accurate records of patient consents, sample chain of custody, and report delivery as required by applicable regulation.
4. Intellectual Property
TGB retains all intellectual property rights in the Platform, including but not limited to: the Evolveme.ai knowledge graph and its 150,000+ curated references; the AI interpretation agents and their underlying models; all report templates and visualisation frameworks; all software, algorithms, and data structures comprising the Platform.
Partners are granted a limited, non-exclusive, non-transferable licence to use the Platform for the purposes described in their agreement with TGB. This licence does not include any right to copy, reverse-engineer, or create derivative works from any TGB intellectual property.
Patient-specific reports generated through the Platform are provided to partners for delivery to their patients. TGB does not assert ownership over individual patient reports.
5. Data Handling
Data handling on the TGB Platform is governed by our Privacy Policy, which is incorporated into these Terms by reference. Partners are responsible for ensuring that patient data is collected, transferred to TGB, and used in accordance with applicable data protection law, including obtaining the necessary consents prior to processing special category data such as genomic information.
Partners who wish to use TGB services in jurisdictions with specific data localisation or transfer requirements should contact us to discuss appropriate data processing arrangements.
6. Limitation of Liability
The TGB Platform provides intelligence tools and decision-support outputs. It does not constitute medical advice, clinical diagnosis, or a substitute for professional clinical judgement. TGB makes no representation that any particular report output will be suitable for any specific clinical decision.
To the maximum extent permitted by applicable law, TGB’s total aggregate liability to a partner arising from or related to these Terms or the Platform shall not exceed the total fees paid by the partner to TGB in the twelve months preceding the event giving rise to the claim. TGB shall not be liable for indirect, incidental, consequential, or punitive damages.
7. Termination
Either party may terminate the partnership agreement on 30 days’ written notice. Upon termination, partner access to the Platform will be suspended and all partner data will be made available for export for 30 days following the termination date. After this period, data will be deleted from TGB systems in accordance with our Privacy Policy and data retention obligations.
TGB reserves the right to suspend or terminate access immediately in the event of material breach of these Terms, non-payment, or use of the Platform in a manner that may cause harm to patients or reputational damage to TGB.
8. Governing Law
These Terms are governed by the laws of India. Any disputes arising from or relating to these Terms or the use of the Platform shall be subject to the exclusive jurisdiction of the courts in Mumbai, India, unless a separate agreement specifies otherwise.
For partners operating in other jurisdictions, local mandatory consumer or data protection laws may apply in addition to these Terms.
